These Terms of Sale ("Terms") govern wholesale purchases of goods from Creative Services Bound LLC ("Creative Services Bound", "CSB", "we") and your use of the Creative Services Bound website, buyer portal, and mobile app (together, the "Service"). They apply to every quote, purchase order, invoice, and shipment, except where superseded by a signed master supply agreement between us and you.
1. Buyer eligibility
The Service is intended for business buyers, not consumers. By placing an order you represent that you are at least 18 years old, acting on behalf of a legally constituted business, and authorized to bind that business to these Terms.
2. Quotes and orders
- Quotes are valid for 30 days from the quote date unless stated otherwise on the quote.
- An order is formed when we issue a written order acknowledgement, not at the point of receiving your purchase order.
- Stock allocation is held against named hubs at the time of quote. Allocation can be released if the order is not confirmed within the quote validity period.
3. Pricing, currency, and taxes
- Prices are quoted in USD by default. EUR, GBP, or AED are available on request.
- Prices are exclusive of VAT, GST, sales tax, customs duty, import VAT, and other destination-country taxes, except where the agreed Incoterm makes them our responsibility.
- Where the agreed Incoterm is DDP, taxes and duties are included in the quoted price as declared on the commercial invoice.
4. Payment terms
- Default terms are pre-payment by wire, ACH, SEPA, or letter of credit before pickup.
- Net-30 terms are available to buyers who have completed a credit check and paid three invoices on time.
- Late payment carries interest at 1.5% per month or the maximum permitted by applicable law, whichever is lower, plus reasonable collection costs.
- We reserve the right to suspend further shipments while any invoice is past due.
5. Shipping, delivery, and Incoterms
- Shipping is governed by Incoterms 2020. The Incoterm that applies to each order is the one stated on the order acknowledgement.
- Delivery dates we quote are estimates given in good faith based on stock allocation, carrier capacity, and customs clearance. They are not contractual unless we agree in writing to a guaranteed delivery date.
- Risk passes to the buyer at the point defined by the agreed Incoterm. Title passes when we receive cleared funds in full.
6. Customs, export controls, and sanctions
- We screen every order for ITAR, EAR, EU dual-use, UK SPIRE, and applicable sanctions before pickup. Restricted parts will be flagged at quote time.
- You agree not to re-export, divert, or transfer goods in violation of any applicable export control or sanctions regulation, and to provide accurate end-use and end-user information when we request it.
- Where you act as Importer of Record, you are responsible for destination-country customs clearance, import licenses, and payment of duties and taxes.
7. Inspection and discrepancies
- Inspect every shipment on arrival. Any visible damage, shortage, or wrong-part claim must be raised in writing within 30 calendar days of delivery.
- Where we agree the part is non-conforming, we will replace, refund, or credit the line at your election. Carriage on the return is on us.
- Discrepancy claims raised after the 30-day window are accepted at our discretion only.
8. Warranty and traceability
- Aerospace parts ship with FAA 8130-3, EASA Form 1, or OEM Certificate of Conformity at no additional cost.
- We warrant that goods are supplied with good title and conform to the description on the order acknowledgement.
- Manufacturer warranties pass through to the buyer where the manufacturer permits this. We do not extend, repeat, or replace any manufacturer warranty.
- All other warranties, conditions, and representations, whether express or implied, are excluded to the maximum extent permitted by law.
9. Returns and cancellations
- Stock SKUs may be returned within 30 days for credit, subject to a restocking fee of up to 15%. Goods must be in original packaging and accompanied by their traceability documents.
- Custom-sourced, special-order, and ITAR-controlled items are non-returnable unless non-conforming.
- Cancellations after order acknowledgement may incur cancellation fees that reflect costs already incurred.
10. Acceptable use of the Service
- Do not use the Service to commit fraud or sanctioned activity.
- Do not attempt to break, scrape, or reverse engineer the website, portal, or app.
- Do not share buyer credentials. Each user gets their own login.
11. Intellectual property
All trademarks, logos, software, and content on the Service belong to Creative Services Bound LLC or our licensors. You receive a limited, revocable, non-transferable license to use them as needed to operate your buyer account.
12. Limitation of liability
To the maximum extent permitted by law, Creative Services Bound is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost data, or business interruption. Our total liability for any claim, in contract, tort, or otherwise, is limited to the amount you paid for the specific order that gave rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
13. Force majeure
Neither party is liable for failure to perform caused by an event beyond reasonable control, including natural disaster, war, civil unrest, strike, pandemic, or government action. Performance is suspended for the duration of the event.
14. Termination
Either party may terminate the relationship for material breach not cured within 30 days of written notice. We may suspend or terminate access to the Service immediately for fraud, sanctions concerns, or non-payment. Sections that by their nature should survive termination will survive (including warranty, IP, limitation of liability, and governing law).
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Disputes will be resolved by binding arbitration administered by the American Arbitration Association in Wilmington, Delaware, in English. Either party may seek injunctive relief in court for IP infringement or breach of confidentiality.
16. Changes
We may update these Terms. Material changes are posted here with at least 30 days' notice. Continued use of the Service after a change means you accept the revised Terms.
